Hangtag Application Requirements

To provide added promotional value for partner brands, Zhongding offers free yarn hangtags to brand clients who meet the following criteria:

(a) Minimum Order Quantity

A minimum of 50 kg of yarn per order is required. Each order is eligible for only one hangtag application.

(b) Quantity of Hangtags

Up to 4 hangtags can be requested per 1 kg of yarn ordered. If more hangtags are needed, please indicate the reason in the remarks section of the online application form. Zhongding will assess requests on a case-by-case basis.

(c) Yarn Content Requirement

The final garment or knit product must contain at least 50% Zhongding yarn.

(d) Brand Authorisation Agreement

Applicants must agree to and sign Zhongding Hangtag License Agreement.

Zhongding Hangtag License Agreement

If a brand intends to use the Zhongding logo or any company information, it must sign the following license agreement. This agreement is designed to protect the legal rights and interests of the Zhongding brand and ensure the proper use of hangtags. ?

1. Hangtag Application Requirements

All clothing and knitted products applying for Zhongding hangtags must meet the following conditions:

a) Minimum Order Quantity ?

The minimum yarn order per transaction is 50 kg, and only one hangtag application is permitted per order.

b) Hangtag Quantity

A maximum of 4 hangtags may be applied for per 1 kg of yarn ordered. If additional hangtags are required, the reason must be stated in the remarks section of the online application form and approved by Zhongding before processing. ?

c) Yarn Composition Requirement

Garments and knitted products must contain at least 50% or more Zhongding yarn to reflect the brand’s quality, natural luxury philosophy, and sustainability. ?

d) Brand License Agreement

Applicants must agree to and sign this Zhongding Yarn Hangtag License Agreement and strictly comply with all its terms and conditions. ?

2. Hangtag Usage Regulations

a) Authorized Scope

Approved hangtags may only be used on authorized products that meet the above application criteria and must be applied correctly as specified by Zhongding. Applicants may not use Zhongding yarn hangtags as standalone garment hangtags. Zhongding shall not be held responsible for any customer misunderstandings resulting from improper usage. Hangtags are exclusively for the licensee’s use and may not be transferred, sold, or licensed to third parties. ?

b) Liability for Violations

If improper use by the applicant or its authorized parties (including unauthorized transfers, third-party licensing, or application to non-compliant yarn) damages Zhongding’s brand image or trademark rights (including but not limited to direct/indirect losses, reputational harm, etc.), Zhongding reserves the right to immediately terminate all contracts and orders with the applicant. The applicant shall bear full liability for breach and compensate Zhongding for all losses incurred. If losses are difficult to quantify, the compensation amount shall default to CNY 100,000. ?

3. Hangtag Modification & Distribution

Applicants may not alter, reproduce, distribute, publish, sell, transfer, or license Zhongding hangtags without written consent from Zhongding. Hangtags may not be used for unauthorized products or purposes.

4. Brand Reputation & Quality Maintenance

a) Hangtag Usage Guidelines

Licensees must ensure all marketing and promotional materials related to Zhongding yarn hangtags—regardless of format (e.g., advertisements, print media, websites, social media) or medium—comply with Zhongding’s usage standards and brand image requirements. ?

b) Quality Assurance

Licensees must guarantee that all products bearing Zhongding hangtags meet the brand’s quality standards. Any products sold in the market with Zhongding yarn hangtags must consistently maintain high quality to avoid negative impacts on the brand’s reputation. ?

5. Legal Liability

a) Indemnification

Zhongding shall not be liable for any third-party claims arising from the promotion, sale, or use of products or hangtags (including but not limited to lawsuits or compensation due to quality issues, trademark infringement, etc.). The applicant assumes all legal responsibilities and costs incurred by Zhongding related to such claims.  

b) Compensation Clause

If Zhongding suffers losses due to the applicant’s or its affiliates’ misuse of hangtags (including reputational damage or trademark infringement), the applicant shall compensate Zhongding for all direct and indirect losses as required.  

6. Agreement Version & Governing Law

a) Version Control

In case of any discrepancies between the simplified Chinese and English versions of this agreement, the English version shall prevail.

b) Applicable Law

This agreement’s formation, interpretation, execution, and dispute resolution shall be governed by the laws of the People’s Republic of China. If disputes cannot be resolved amicably, they shall be submitted to the People’s Court in Zhongding’s jurisdiction. The breaching party shall cover all costs incurred by the non-breaching party to enforce its rights, including but not limited to legal fees, preservation insurance, and travel expenses. ?

7. Dispute Resolution & Final Decision Authority

Any disputes arising from this agreement shall first be resolved through good-faith negotiations. If unresolved, Zhongding retains final decision-making authority and may pursue legal action.

To use Zhongding yarn hangtags, you must agree to and comply with all terms of this *Zhongding Yarn Hangtag License Agreement*.
